Job Title: Executive Vice President, General Counsel and Secretary (C-Level role)



Location: Remote possible, but preference given to NYC area or Cedar Rapids, IA



Compensation: Highly competitive base salary ($225,000+) plus annual incentive bonus and equity through participation in Management Incentive Plan, all commensurate with experience



Key responsibilities include:


1) Corporate secretary – prepares board and committee resolutions, minutes, and meeting materials; manage all aspects of the company’s corporate governance


2) Transactional – Debt and equity capital raises, future M&A opportunities and commercial contracts


3) “Day to day” trucking operations – litigation management, regulatory compliance oversight, employment law matters, contracting and other operationally-driven legal issues


4) Compliance with all debt documents and regulatory requirements


5) Other corporate transactions, contract interpretation and analysis and general legal responsibilities


6) Oversee the selection, management, and evaluation of outside counsel



The ideal General Counsel does not need to be an expert in all of the above areas, but comfortable quarterbacking efforts with outside counsel as appropriate and/or researching, analyzing and solving workstreams. In addition, EVO has plans to go public in the next 12-24 months and public company and SEC experience is a preferred qualification, but not required.


The General Counsel will be a C-level executive who participates in all executive meetings and exchanges. The ideal candidate will take an interest in business issues and have the opportunity to participate in higher level strategy and business matters.



Position Requirements:


· Juris Doctorate Degree from an ABA accredited law school and State Bar membership


· A minimum of five years of relevant experience


· Excellent business judgment and strong negotiation skills


· Ability to manage multiple projects simultaneously and meet competing deadlines


· Ability to work both independently and on teams


· Strong oral and written communication skills, including the ability to communicate complicated legal concepts to non-lawyer audiences



Preferred Qualifications:


· Freight/trucking industry experience


· In-house experience


· SEC and public company experience
