About the Position

Conduit is seeking a dynamic and experienced General Counsel to join our executive team. As the General Counsel, you will play a crucial role in shaping the company’s strategic direction by providing expert legal advice and support across all aspects of our operations. You will ensure legal compliance, manage risks, and oversee the legal framework of our groundbreaking energy projects. Key Responsibilities:


  • Commercial Contracts and Land Documents: Draft, review, and negotiate commercial agreements and land documents in furtherance of Conduit’s operations, including utility interconnection agreements, master service agreements, easements, leases, and purchase agreements, and natural gas supply agreements.
  • Project Financing: Lead the legal aspects of project financing including developing and negotiating term sheets, loan agreements, and other financing documents.
  • Project Risk Management: Develop and implement comprehensive risk management profiles for various projects to ensure project success and mitigate risks.
  • Regulatory Compliance: Ensure strict compliance with ERCOT, FERC, and local utility regulations. Stay abreast of regulatory changes and advise the company on necessary adjustments to maintain compliance.
  • Corporate Governance: Manage corporate governance documents, including board minutes, consents, and other governance-related records while ensuring compliance with corporate policies and procedures.
  • Managing Outside Counsel: Coordinate and manage relationships with outside counsel, while monitoring and controlling legal spend to ensure cost-effective legal support. Develop a network of reliable external legal advisors and manage legal budgets effectively.
  • Employment Agreements: Review and manage employment agreements, ensuring they are aligned with company policies, compliant with labor laws, and tailored to meet the needs of our diverse workforce. Support HR in handling complex employment issues and dispute resolutions.

Qualifications: 


  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in at least one state.
  • Minimum of 10 years of legal experience, with significant experience in the energy sector.
  • Extensive knowledge of corporate governance, regulatory compliance, and project financing.
  • Proven ability to manage complex legal matters and work effectively with cross-functional teams.
  • Excellent negotiation, drafting, and communication skills.
  • Experience managing outside counsel and controlling legal expenses.
  • Strong understanding of land use, utility interconnections, and procurement processes.
