Position Overview:
Formulated Solutions is seeking a highly skilled General Counsel with a focus on contract management to join our dynamic team. This role will be instrumental in overseeing all legal aspects related to contracts, ensuring that our agreements align with industry regulations, protect our interests, and support our business objectives. The General Counsel will work closely with senior management and various departments to provide strategic legal advice and manage contract-related risks.


Key Responsibilities:



Contract Management:
Draft, review, negotiate, and finalize a wide range of contracts, including supply agreements, manufacturing agreements, licensing agreements, and service contracts.
Ensure all contracts comply with applicable healthcare regulations and industry standards.
Develop and maintain standardized contract templates and guidelines to streamline the contracting process.



Legal Advisory:
Provide expert legal advice on contract-related matters to senior management and various departments.
Identify and mitigate legal risks associated with contractual obligations and business operations.



Compliance and Risk Management:
Monitor changes in laws and regulations that may impact contractual obligations and business practices.
Implement and oversee policies and procedures to ensure compliance with regulatory requirements and industry best practices.



Dispute Resolution:
Manage and resolve disputes related to contracts, including negotiations, mediations, and litigation as necessary.
Work closely with external legal counsel on complex legal issues and high-stakes disputes.



Internal Collaboration:
Collaborate with cross-functional teams including procurement, quality assurance, and regulatory affairs to ensure alignment and address legal issues proactively.
Provide training and guidance to staff on contract-related matters and legal compliance.
Documentation and Reporting:
Maintain accurate and organized records of all contractual documents and related correspondence.
Prepare reports and updates on contract-related issues for the executive team and board of directors.
Outsource where required:
Work with outside counsel to ensure that legal matters are handled utilizing the right skill set.


Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Admission to the bar in Florida.
Minimum of 10 years of experience as an attorney, with a strong focus on contract law and experience in the healthcare or manufacturing sector.
In-depth knowledge of healthcare regulations, industry standards, and contract management best practices.
Excellent negotiation, drafting, and analytical skills.
Proven ability to manage multiple priorities and work collaboratively in a fast-paced environment.
Strong communication skills, with the ability to present complex legal concepts in a clear and concise manner.
Proficient in Microsoft office.
Collaborative and able to work across functions to meet goals.


Preferred Qualifications:
Experience in the contract manufacturing sector or with healthcare product manufacturers.
Familiarity with international contract laws and regulations.
Employment or Patent Law experience a plus.
