What’s the role?


To head up and lead the compliance and risk function for the Luxembourg Management Company Service Line. All tasks to be carried out efficiently and effectively, in accordance with Gen II’s procedures and values.


To be part of the Luxembourg leadership team reporting into the Head of Client Services Luxembourg and to ensure proper implementation of group risk guidelines and policies and, as part of the Leadership team, always lead by example in line with Gen II values and behaviours.


To carry out the role of Conducting Officer and RC of the management company on an interim basis.


What you’ll be doing


Your role may include, but will not be limited to, the following tasks which we call ‘Defined Business Activities’. The list of defined business activities is not exhaustive and may be amended from time to time:


Compliance



  • Being appointed and acting as Compliance officer and RC of the management company

  • Identify and assess all compliance and operational risks that the company is exposed to

  • Advise the Board and the Exco on changes to Law and regulation and how they will impact the Company

  • Maintain the Companies manual of procedures, including the company compliance charter and policy

  • Develop, execute and follow-up on the company’s compliance monitoring program

  • Ensure that all staff are trained on compliance and AML/CFT matters

  • Liaise with the relevant authorities including, but not limited to, the CSSF and the FIU

  • Draft reports on compliance matters to the board, ExCo, CSSF

  • Responsibility for the due diligences (initial and ongoing), daily screening, organisation of acceptance committee including of drafting reports and minutes – preparing hand-over and oversight of these tasks to an oversight team while ensuring set-up of new escalation process to compliance

  • Project management


Group Risk and Compliance



  • Active participation in drafting/reviewing group risk and compliance policies and procedures and ensuring their proper local implementation


Legal tasks



  • Oversight over outsourced legal function

  • Being point of expertise and escalation for management company/AIFM related legal matters in coordination with the global legal team

  • Guide and perform on legal researches

  • Ensure maintenance of legal logs including the legal regulatory watch list


The ideal background for this role:



  • A university degree in Law or educational qualification in Law, compliance qualification commensurate with seniority of role

  • At least 12 years’ professional experience in the financial sector with strong economic background

  • At least 10 years’ experience in a management company

  • At least 7 years’ experience in a senior legal &compliance role and management experience

  • Experience of Alternative Investment Funds

  • Comprehensive understanding and knowledge of the fund industry, European and Luxembourg fund regulation (UCITS, AIFs incl RAIFs, EuVECAs) and corporate law

  • Excellent knowledge and understanding of AML and KYC requirements

  • Ability to draft and/or review comprehensive reports including board reports, compliance and AML reports

  • IT skills (MS Office, Excel, Sharepoint, etc.)

  • Proficiency in English written and spoken

  • Any other European language would be an asset


Role Location/Hybrid Schedule


This role is based in our Luxembourg office. Although the nature of most of the roles within Gen II cannot be classed as totally flexible, there is scope in some cases for a form of Agile Working. The different ways in which Agile Working can be undertaken is dependent on the demands and needs of the business, the office space available and the individual’s preferences and circumstances.
