Job Description:
As the Deputy General Counsel at LifeWave Inc. you will play a pivotal role in ensuring legal compliance, managing risks, and providing strategic legal guidance to support our business objectives. Reporting directly to the General Counsel, you will collaborate closely with cross-functional teams and external stakeholders to address a wide range of legal matters. Your responsibilities will include, but are not limited to:


Required Skills:
Legal Compliance:
Monitor and ensure compliance with federal, state, and international laws and regulations governing direct selling and multi-level marketing industries.
Develop and implement policies and procedures to mitigate legal risks and promote adherence to ethical standards.
Conduct periodic compliance audits and training programs for internal teams and independent sales representatives.
Contract Negotiation and Management:
Review, draft, and negotiate a variety of commercial agreements, including distributor agreements, supplier contracts, and marketing agreements.
Manage contract templates, templates for sales agreements, and other legal documents to streamline processes and maintain consistency.
Regulatory Affairs:
Stay abreast of changes in laws and regulations affecting the direct selling industry and advise management on potential implications.
Represent the company in interactions with regulatory authorities and industry associations.
Collaborate with regulatory affairs teams to obtain necessary licenses and approvals for business operations.
Litigation and Dispute Resolution:
Manage and oversee litigation matters, including disputes with distributors, customers, and regulatory agencies.
Work closely with external counsel to develop litigation strategies and effectively resolve legal disputes through negotiation, mediation, arbitration, or litigation.
Intellectual Property:
Protect the company's intellectual property rights by managing trademarks, copyrights, and patents.
Conduct trademark clearance searches, file trademark applications, and enforce intellectual property rights against infringing third parties.
Corporate Governance:
Assist in corporate governance matters, including board meetings, corporate filings, and compliance with corporate governance best practices.
Advise on corporate structuring, mergers and acquisitions, and other strategic transactions.
Risk Management:
Identify legal and business risks and develop strategies to mitigate such risks.
Provide legal guidance on product liability, advertising compliance, data privacy, and other risk areas.



Qualifications:
Juris Doctor (J.D.) degree from an accredited law school and admission to the bar in Utah.
12+ years of experience practicing law, 10+ years in-house experience with direct selling companies.
Strong understanding of federal and state laws governing direct selling, including FTC regulations and pyramid scheme laws.
Excellent negotiation, drafting, and analytical skills.
Ability to communicate complex legal concepts effectively to non-legal stakeholders.
Proven track record of providing strategic legal advice and managing legal risks in a fast-paced business environment.
Experience managing litigation matters and working with external counsel.
High level of integrity, professionalism, and ethical conduct.
