Job Purpose:


The General Counsel will serve as the principal legal advisor to the company's executive leadership team, Board of Directors, and other key stakeholders. Reporting directly to the CEO and Board of Directors, the successful candidate will be responsible for providing strategic legal counsel and guidance on a wide range of matters, including corporate governance, regulatory compliance, M&A transactions, intellectual property, litigation, and contractual agreements.

YOUR CHALLENGE:
  • Provide proactive legal advice and support to the executive leadership team, Board of Directors, and senior management on all legal matters impacting the company's operations and strategic objectives.
  • Ensure compliance with all applicable laws, regulations, and corporate governance requirements, including those specific to public listed companies listed on the Nasdaq Stockholm stock exchange.
  • Oversee the company's legal affairs, including drafting, reviewing, and negotiating a variety of agreements, contracts, and legal documents.
  • Manage and mitigate legal risks and exposures through effective risk management strategies and proactive legal counsel.
  • Collaborate with internal stakeholders, external legal counsel, and other advisors to support key business initiatives, including mergers and acquisitions, joint ventures, and strategic partnerships.
  • Represent the company in legal proceedings, arbitrations, and negotiations, as needed.
  • Stay abreast of legal developments, trends, and best practices relevant to the company's industry and operations.
Board Secretary Responsibilities:
  • Schedule and organize board meetings, including preparing agendas and meeting materials.
  • Record accurate and detailed minutes of board meetings and ensure they are properly documented and archived.
  • Manage communication and correspondence between board members, executive leadership, and external stakeholders.
  • Assist with the preparation and distribution of board-related documents, such as resolutions, policies, and governance guidelines.
  • Maintain corporate records and ensure compliance with regulatory requirements and corporate governance best practices.
  • Serve as a point of contact for board members regarding meeting schedules, materials, and other board-related matters.
  • Provide guidance and support to the board chair and members on matters of corporate governance and board procedures.
Committee Membership Responsibilities:
  • Participate actively as a member of board-appointed committees, such as the audit committee, remuneration committee, and technology committee.
  • Attend committee meetings and contribute to discussions on relevant topics and agenda items.
  • Provide legal expertise and guidance to the committee on matters within the committee's purview, such as financial reporting, executive compensation, and corporate governance.
  • Assist with the development and review of committee charters, policies, and procedures.
  • Collaborate with other committee members and external advisors to fulfill the committee's responsibilities and objectives.
  • Report committee findings, recommendations, and actions to the full board as appropriate.
  • Ensure that committee meetings are properly documented, and minutes are recorded and distributed to committee members and the board.


Leadership and Team Management:
  • Managing team performance effectively through the practicing of ongoing performance management, including conducting performance reviews and regular 1-1 meetings
  • Leading by example by delivering positive results and being a visible Catena ambassador
  • Communicating effectively and ensuring information is delivered in a clear and timely manner
  • Taking ownership of recruitment and selection for your team by working closely with HR and TA teams
  • Enabling team and individual growth from induction stage to ongoing learning and development


TO DO IT, YOU WILL NEED:
  • Relevant degree from an accredited law school.
  • Minimum of 10 + years of experience practicing law, with a focus on corporate, commercial, and securities law.
  • Proven track record of providing strategic legal counsel to public listed companies
  • Strong understanding of corporate governance, regulatory compliance, and securities regulations applicable to public listed companies listed on the Nasdaq Stockholm stock exchange.
  • Excellent communication, negotiation, and interpersonal skills, with the ability to effectively interact with senior executives, board members, and external stakeholders.
  • Demonstrated leadership ability, with experience managing a team of legal professionals and external advisors.
  • Minimum of 5 yearsโ€™ leadership and people management skills
  • Strong understanding of affiliate marketing, performance marketing and digital/eCommerce consumer needs industry
  • Excellent leadership and management skills, with the ability to inspire and motivate teams to achieve results
