Reporting to the Group General Counsel, the Head of Legal is responsible for all legal aspects of the company's operations, including understanding and adhering to various legal regulations: corporate law, contract law, business law, intellectual property law, trademark law, and compliance with rules imposed by authorities and markets.

In collaboration with the Group General Counsel, the responsibilities include but are not limited to:

Corporate Governance and Legal Secretariat

  • Supervising the legal secretariat of all the companies: organizing and managing board meetings, committees, general meetings, and completing legal and regulatory formalities
  • Managing the annual approval of accounts
  • Handling routine legal operations during the fiscal year (company formations, statutory modifications, changes of directors, etc.)
  • Managing exceptional legal operations (mergers, capital transactions, dividend distributions, internal restructurings, etc.)
  • Implementing power of attorney/signature delegations within the Group's companies
  • Overseeing the network of local correspondents responsible for the legal secretariat of foreign subsidiaries, especially concerning statutory modifications, changes of directors/auditors, internal restructurings

Compliance and Regulatory Affairs

  • Contributing to the implementation of GDPR obligations
  • Ensuring proper application and monitoring of the compliance program within the group by updating internal policies and compliance procedures
  • Participating in the implementation of obligations related to the Sapin 2 Law, the UK Bribery Act, and the US Foreign Corrupt Practices Act, and more generally all regulations related to corruption, competition, human rights, personal data protection, international sanctions and embargoes, fraud, etc.
  • Working closely with the finance and IT departments to design and develop internal processes and systems to ensure compliance with the Group's compliance rules
  • Participating in the management of the Group's ethics and compliance alerts
  • Investing in training group employees on ethics and compliance (e-learnings, events dedicated to ethics and compliance, drafting alerts, etc.)

Contracts and Commercial Agreements

  • Drafting and negotiating complex commercial contracts related to the Group's activities
  • Creating standard commercial contract templates
  • Drafting intra-group contracts
  • Assisting operational entities, identifying risks, and securing contractual relationships with clients/suppliers and the Group's operational services
  • Leading the Group's commercial legal network

Litigation and Dispute Resolution

  • Monitoring the Group's litigation

Mergers and Acquisitions

  • Participating in the Group's external growth and equity investment projects (due diligence, sale agreements, liability guarantees, etc.)

Insurance and Risk Management

  • Participating in insurance program renewal campaigns and managing the Group's claims

Training and Knowledge Management

  • Participating in the organization of internal training sessions
  • Maintaining and updating databases
  • Conducting legal monitoring
